Welcome to Saloneel Studio!

These Terms & Conditions govern all design and consulting engagements undertaken

by Saloneel (powered by Artora Agency Pvt. Ltd.). By commissioning work or accepting

a quotation, the Client agrees to be bound by these terms. These terms do not override

any separately executed agreement, but apply as the default engagement framework

where no such agreement exists.

1. About

Saloneel is a UI/UX and brand design studio operated by Saloni and Neel Litoriya, powered

by Artora Agency Pvt. Ltd.

All work is carried out by Saloneel Design Studio on the understanding that the client has

agreed to Saloneel ’s terms and conditions. Copyright is retained by Saloneel Design Studio

on all design work including words, pictures, ideas, visuals and illustrations unless

specifically released in writing and after all costs have been settled. If a choice of design is

presented, only one solution is deemed to be given by Saloneel Design Studio as fulfilling the

contract. All other designs remain the property of Saloneel Design Studio unless agreed in

writing that this arrangement has been changed.

2. Project Engagement

A project engagement is confirmed upon any of the following:

— Written acceptance of a Saloneel quotation or proposal

— Receipt of the advance payment as specified in the quotation

— Written or emailed authorization to commence work


Where a paid demo or discovery phase precedes the full project, separate terms for that

phase will be outlined in the quotation. The paid demo does not automatically constitute

engagement for the full project.

3. Scope of Work

Saloneel will deliver only the services explicitly outlined in the agreed quotation or project

proposal. Any work requested beyond the agreed scope — including additional screens,

features, deliverable formats, or revisions exceeding the stated revision limit — will be

treated as additional work and billed separately.

IMPORTANT

Additional scope requests must be agreed upon in writing before work on them begins. Verbal requests or mentions during meetings do not constitute scope approval.

We reserve the right to decline out-of-scope work if it materially alters the project direction,

timeline, or bandwidth.

4.Working Hours & Communication

Saloneel works Monday to Friday. We do not commit to work on weekends or public holidays,

except in cases of genuine urgency or emergency.

Our primary communication channel is Pumble and Figma comments (We can use Slack, Clickup or any other communication channel). All project-related discussions, feedback, approvals, and instructions will be shared via Pumble unless a formal meeting is scheduled. Communication via personal WhatsApp or verbal instructions is not considered binding or trackable.

— Response time on Pumble: within 4 working hours during business hours (10 am – 7 pm IST).

— Meetings are scheduled in advance with a minimum of 24 hours' notice.

— A weekly progress review meeting is held at the end of each week (Friday, time to be mutually agreed) Attendance from the client side is expected.


Feedback or approvals shared outside Pumble (e.g. via voice notes, calls without written follow-up, or third parties) must be followed up in writing on Pumble to be considered actionable.

  1. Revisions & Feedback

The number of included revision rounds will be specified in the quotation. Revisions are defined as directional refinements within the agreed design concept — not new directions,

concept changes, or scope additions.


— Feedback must be consolidated and submitted in a single round per revision cycle — not piecemeal over multiple messages.

— Design direction changes after approval of a screen design will be treated as a new scope item.

— Revisions requested after final delivery will be billed at our standard rate.

  1. Payment Terms

All projects require an advance payment before work commences, as specified in the quotation (typically 50% of the total project fee). This advance is non-refundable once work

has begun.


— The remaining balance is due within 14 days of final delivery

— Final source files, Figma files, and all deliverables are released only upon full payment

clearance

— For projects extending beyond 4 weeks, milestone-based payments may apply as

outlined in the quotation

— Paid demo fees are non-refundable and are not adjusted against the full project fee

unless explicitly stated in writing.

LATE PAYMENT

Invoices unpaid beyond 14 days of the due date will incur a 6% monthly late fee on the outstanding amount. Saloneel reserves the right to pause active project work until dues are cleared.

  1. Intellectual Property & Ownership

Upon receipt of full and final payment, the Client receives full ownership of the agreed

deliverables created specifically for their project.


— NOC, DMCA, Licenses, and Ownership transfers only after complete payment. Prior to

that, all work remains the intellectual property of Saloneel.

— Exploratory concepts, rejected directions, process files, internal documentation, and methodology frameworks remain the property of Saloneel at all times.

— Third-party assets (stock imagery, icon libraries, typefaces) are subject to their respective licenses; the will use free version, created custom assets, or premium assets based on client's need and budget.

  1. Portfolio & Case Study Rights

Saloneel reserves the right to feature project work — including designs, outcomes, and process — in its portfolio, website, and professional case studies. This is a standard condition of engagement and reflects our studio's professional identity that helps many startups and aspiring designers to learn and get inspired.


— We will seek written approval before publishing any case study that includes the Client's brand name, specific metrics, or confidential product details

— We may reference the engagement and display design work at our discretion unless the Client explicitly requests confidentiality in writing prior to project commencement

— If the Client requires full confidentiality of the work, this must be agreed in writing or in NDA before the project begins and may be reflected in revised project pricing.

MUTUAL CREDIT

Where we feature your project, we will always frame it with accuracy and professionalism. We will not disclose proprietary business details, pricing, or internal

strategies without explicit written consent.

  1. Confidentiality

Saloneel treats all client information — business plans, product concepts, user data, and proprietary materials — as confidential. We will not disclose or share such information with third parties without the Client's written consent, except where required by law.


If a formal NDA is executed between both parties, that NDA governs. These T&C confidentiality terms apply where no separate NDA exists.


The Client is equally obligated to maintain confidentiality around Saloneel's proprietary processes, methodologies, pricing, and any internal documentation shared during the engagement.

  1. Client Responsibilities

Timely and quality delivery depends on active client participation. The Client agrees to:


— Provide all required content, brand assets, and reference materials before the project kick-off

— Designate a single point of contact for feedback and approvals to avoid conflicting instructions

— Review and respond to deliverables within 3 working days of submission; delays beyond this may push the project timeline accordingly

— Attend scheduled weekly review meetings or nominate a representative

— Ensure that feedback reflects internal alignment — we will not be held responsible for rework caused by changing requirements after approvals

11. Timelines & Delays

Project timelines are estimates based on the agreed scope and reasonable client responsiveness. If the Client causes delays — through late feedback, prolonged approvals, or scope changes — timelines will be adjusted accordingly with written notice.


Saloneel will communicate proactively if any delay arises on our end. In such cases, we will provide a revised timeline within 2 working days of identifying the issue.


If a project is paused at the Client's request for more than 30 days, it will be considered on hold and may require re-scoping upon resumption.

  1. Termination

Either party may terminate the engagement with 14 days' written notice. Upon termination:


— Work completed up to the termination date will be invoiced and payable

— The advance payment is non-refundable in all cases

— Saloneel will deliver all completed work files upon receipt of final dues

— Incomplete deliverables will be shared in their current state with no warranty of usability

  1. Non-Solicitation

During the engagement and for a period of 12 months thereafter, the Client agrees not to directly solicit, recruit, or engage Saloneel's team members (including contractors or collaborators introduced through Saloneel) for independent work, bypassing Saloneel as the studio of record.

  1. Limitation of Liability

Saloneel's total liability under any engagement is limited to the total fees paid by the Client for that specific project. We are not liable for indirect losses, consequential damages, lost profits, or business interruption arising from the use or inability to use delivered work. The Client warrants that all materials, content, and references provided to Saloneel do not infringe any third-party rights. Any liability arising from Client-supplied materials rests solely

with the Client.

15. Governing Law & Disputes

These Terms & Conditions are governed by the laws of India. Any disputes arising from or related to an engagement shall first be attempted to be resolved through mutual discussion.

If unresolved within 30 days, disputes shall be referred to arbitration under the rules of the Indian Council of Arbitration, with the place of arbitration being Indore, Madhya Pradesh.

16. Amendments

These Terms & Conditions may be updated periodically. The version in effect at the time of project commencement governs that engagement. Any project-specific modifications must be agreed in writing and appended to the quotation or proposal.
